Enterprise software leader SAP is acquiring the “digital adoption” platform provider WalkMe in an all-cash deal valued at $1.5 billion.

WalkMe was valued at under $880 million at the market close yesterday, making the $14 per share offer a 45% premium.

Founded in San Francisco in 2011, WalkMe develops software that companies use to embed on-screen product walkthroughs within their applications. This is used to guide users through new features or assist in onboarding new employees. Features can include balloon overlays or on-screen prompts designed to convert free users into paying customers. The goal is to automate what would otherwise be a labor-intensive process requiring significant human intervention.
